Before joining the Arzinger team in 2014 Julia Matsiuk has been working as an assistant to the judge in the Economic Court.
Julia is practicing on following areas:
- corporate law: Julia has repeatedly participated in preparation of documents for share purchase and sale transactions, in preparation of a new version of the charter, in registration of amendments to the charter, in resolving other corporate issues;
- rental and real estate: Julia participated in preparation of real estate lease agreements, real estate pledge agreements, agreements on foreclosure of pledged property, certification of pledge agreements with a notary, advised on other issues in this area;
- economic insolvency (bankruptcy): Julia has a certificate of a crisis manager. She is engaged in preparing of bankruptcy applications, advising clients on the protection of creditors' interests during the bankruptcy proceedings, during liquidation proceedings, participated in the preparation of documents for appeals against actions of the crisis manager and other issues in bankruptcy cases;
- constructions: Julia has repeatedly participated in preparation of construction contracts, including «turnkey» contracts, contracts for project work, engineering services, claims, advised on the restoration of historical and cultural property and other construction activities;
- pharmaceuticals: Julia developed a wide expertise in the field of working with pharmaceutical companies . She helped our clients to prepare appeals to the organizer of public procurement of medicines to eliminate violations of participant's rights, complaints to MART on the results of public procurement procedures, and other;
- dispute resolution: Julia was also involved in preparation of statements of claim, applications for commencement of writ proceedings, applications for execution, responses to statements of claim and other documents.
Julia contributed actively to law journals covering the most relevant issues in the field of civil law. She has more than 17 publications.

The Council of Ministers Approved Standard Statute for Legal Entities
On March 3, 2025, Resolution No. 133 of the Council of Ministers "On Standard Statutes of Legal Entities" (Resolution No. 133) was adopted. The Resolution came into force on March 13, 2025.

Changes in The Procedure for Providing and Using Gratuitous (Sponsor) Aid
In accordance with the Edict of the President of the Republic of Belarus No. 112 dated 27.03.2024, a new version of the Edict No. 300 dated 01.07.2005 “On the Provision and Use of Gratuitous (Sponsor) Aid” (“Edict No. 300”) has been approved. The new version will enter into force 6 months after its official publication.
Further changes to bankruptcy proceedings from October 1, 2023
Due to the entry into force of the Law of the Republic of Belarus No. 227- З of 13.12.2022 “On Insolvency Settlement Law” (the “Insolvency Law”) on 01.10.2023, the authorized bodies have established the procedures for the handling of court cases and the maintenance of the Unified Register of Bankruptcy Information.
Evaluation of Bankruptcy Risk Grades
Resolution of the Ministry of Economy of the Republic of Belarus and the Ministry of Finance of the Republic of Belarus dated 07.08.2023 No. 16/46 "On Evaluation of a Bankruptcy Risk Grade" was adopted and enters into force on 01.10.2023 together with the Law of the Republic of Belarus "On Regulation of Insolvency".
“On the Draft Law of the Republic of Belarus “On Amending the Law of the Republic of Belarus “On Mortgage””
The Resolution of the House of Representatives of the National Assembly of the Republic of Belarus dated May 31, 2022 No. 411-P7/VIII “On the Draft Law of the Republic of Belarus “On Amending the Law of the Republic of Belarus “On Mortgage”” (hereinafter referred to as the Mortgage Draft Law) was published on the National Legal Portal of the Republic of Belarus.
Procurements at their own expense
On May 28, 2022 the National Legal Internet Portal of the Republic of Belarus published amendments to the Resolution of the Council of Ministers of the Republic of Belarus of 15.03.2012 № 229 “On Improvement of Relations in Procurement of Goods (Works, Services) at Their Own Expense” (hereinafter – Resolution No. 229).
Edict No. 26 “On Measures to Improve Construction Activities” has been amended
The Edict of the President of the Republic of Belarus dated March 25, 2022 No. 120 (hereinafter referred to as the Edict No. 120) amended and supplemented by the Edict of the President of the Republic of Belarus dated January 14, 2014 No. 26 “On measures to improve construction activities”.
Legal Improvements in Engineering and Construction
On August 25, 2021, amendments to the following legal acts entered into force:
- Rules for Conclusion and Execution of Construction Contracts (Resolution of the Council of Ministers No. 1450 of 15.09.1998);
- Regulations on Commissioning of Construction Facilities (Resolution of the Council of Ministers No. 716 of 06.06.2011);
- Regulations on Reserving Contract Funds by Contractors (Resolution of the Council of Ministers No. 299 of 01.04. 2014).
The draft of the Edict “On cadastral valuation of real estate”
At present, the system of cadastral valuation of land and land plots is widely used in the Republic of Belarus, which makes it possible to obtain reliable information about their cadastral value, i.e. the average market value obtained in a mass manner (without taking into account the individual characteristics of each land plot) for a single date.
The results of the cadastral valuation of land, land plots are used as the basis for payments for land: from rent payments to redemption of a land plot into private ownership of legal entities, as well as for tax purposes.
Planned Changes in the Performance of Construction Activities
On March 22, a new draft Resolution of the Council of Ministers of the Republic of Belarus was published on the Legal Forum of Belarus. It amends some regulations in the field of construction, namely, the Rules for the conclusion and execution of construction contracts and the Regulation on the certification of legal entities and individual entrepreneurs, approved respectively by resolutions No. 1450 and No. 252 (hereinafter – the Draft).
Austrian IFN Group acquired more than 80% in Danish Skanva Group with a production in Belarus

Projects
A French manufacturer of milk products
In 2016, we were addressed by the French origin company, which was one of the largest global manufacturers of milk products. The client wanted to acquire the controlling shareholding of a Belarusian milk factory. We supported the entire process on the Client’s behalf.
The Corporate Law practice and the M&A practice team performed the Due Diligence of the target company, structured the entire process of the deal, developed the package of agreements (the sale and purchase agreement, the guarantee agreement, the escrow account agreement, the non-competition agreement, etc.) to complete the deal, negotiated with sellers of shares, received the required permits from antitrust authorities.
The deal was finished in January 2017. Today, we are supporting the process of redemption of shares from minor shareholders.
A Spanish fashion retailer
Comprehensive support of a retailer’s entry into the market, including conclusion of a set of franchising agreements with foreign right holders. We studied all intellectual property facilities that were part of the license package, developed a franchise agreement taking into consideration the specifics of the Belarusian civil and customs law, supported the client in negotiating on the agreement with the National Center for Intellectual Property and its state registration.

UNIBEP S.A.
UNIBEP S.A. is a Polish construction company well known in Belarus as the general contractor for construction of the 2nd building of the Victoria 4* hotel in Minsk (the total floor area of the building is 37,699.50 sq.m).
In the course of construction of the hotel, we rendered full legal support of conclusion and performance of the general contract agreement, agreements with subcontractors, etc.
Now we are rendering support to UNIBEP in two major projects in Belarus, one of them is construction of a logistic center with the area of 230 ha in Orsha (Vitebsk region). This is the biggest project for the Belarusian logistic operator called Bremino Group. The second project is construction of a tennis and health-care center in one of Minsk districts. It will be the biggest tennis center in Minsk (13 tennis courts, a fitness center, a sports hall for group sports) with a developed infrastructure (a health-care center, a juice bar, a cafe with the children’s room and a store for sport goods).
Acquisition of a Belarusian design organization
It was a joint project with the Duvernoix Legal SPB law firm, within the scope of which the customer acquired several Russian and Belarusian companies. Arzinger was in charge of the Belarusian component.
Lawyers performed Due Digence of one of Belarusian FLLCs. As part of the project, we also performed the legal analysis of the corporate structure, economic activities, employment relations, documents related to the transfer of intellectual property rights, documents for real estate property, etc.
Agromilk
We advised a group of investors from the Central Asia under the aegis of Agromilk Holding (UAE) on the issues of acquisition of a state-owned milk farm in Grodno region of Belarus. The investors signed the investment contract with the Republic of Belarus and the sale and purchase agreement for the purpose of acquisition of the farm.
The invested project (the investments amount was $7 million) was aimed at improvement of the current buildings of the farm and construction of new ones, as well as at increasing the livestock amount. We were in charge of almost all aspects of the deal including the issues of real estate property, sale and purchase, conclusion of the investment agreement. That deal was divided into several transactions made in several jurisdictions (Switzerland, UAE, Lebanon).
