A Belarusian automobile manufacturer

Arzinger advised and represented the Belarusian automobile manufacturer’s interests in negotiations with a foreign contractor regarding the dispute over performance of a turnkey construction contract concluded with application of the FIDIC book under the German law.

The dispute amount was over USD 20 million. As a result of the negotiations held, the contractor withdrew its claims.

The client is an international manufacturer of hand tools.We provided advising on the issues of sale of shares in a Belarusian subsidiary, corporate restructuring and corporate governance in accordance with the Belarusian law.From 2008 to 2012, we resolved all corporate issues for our client (drew up resolutions of the Board of Directors, resolutions of the General Meeting of Shareholders, made several amendments to the client’s Articles of Association, rendered legal support in the procedure of increasing of the authorized capital).

A Polish manufacturer of children’s clothing

We advised a Polish manufacturer of clothing for children aged 0 to 14 within the scope of acquisition of the Belarusian leader in the children’s goods retail market.

Within the scope of this project, we performed the Due Diligence of the target company, drafted the sale and purchase agreement, and supported the deal conclusion process. 

Acquisition of a Belarusian garment factory shares from the government

Valdis LLC (Russian Federation) addressed us for legal support in the process of acquisition of 100% of shares of a Belarusian garment factory from the government.

Our participation was started from holding negotiations with the government bodies and winning the auction arranged by the government. Then, we concluded the sale and purchase agreement for the shares owned by the government, registered the agreement with the relevant government bodies.

The process of complete privatization had only recently been started in Belarus, in connection with which the deal had the fundamental meaning.

A Belarusian footwear manufacturing holding decided to upscale the production facilities and enter the EU market. For a number of reasons (taxation, logistic, etc.), it was resolved to open a separate company for performing activities in the EU. We asvised the client on the business restructuring issues.

In this case, we assisted the client in acquisition of a building with the total floor area of 1,783.5 sq.m located in the historical part of Minsk.

Our functions included legal analysis of documents related to the construction of the deal facility, deal structuring and legal support in concluding and performance of the sale and purchase agreement. We also checked the compliance of the documents related to construction of the building with the specific requirements of the law of the Republic of Belarus on construction in historical parts of Minsk.

The deal structure was complicated with the fact that construction of the building had not been completed by the moment of conclusion of the sale and purchase agreement.

Representation of interests of a children’s toys retailer in a case of unfair competition, protection of rights to the trademark. One of the competitors decided to use the already promoted trademark of another company in respect of the goods that were not identical or interchangeable with the goods of the former company, but the target buyers of which were the same part of the consumer market. With that, buyers had the false impression that they purchased goods from the same company in both cases.

Our lawyers provided the plan of actual and legal actions for our client, and supported implementation of the case.

A manufacturer of fire-fighting equipment

Representation of interests of a security systems manufacturer in a case of unfair competition. The situation of monopsony (one major buyer) was actually formed in the commodity market and suppliers had to interact with each other so that the goods of one supplier could be used along with the goods of the others.

Several suppliers demanded that their competitor transferred the software that ensures functioning of security systems to them free of charge, which the latter reasonably considered a violation of its rights. We not only ensured representation of the client’s interest at the antitrust body investigation stage, but also interacted with the antitrust body for the issues of interpretation and proper implementation of its decision.

A manufacturer of toys

We developed and concluded a license agreement with a foreign copyright holder for audio works and characters from famous cartoons as part of comprehensive legal servicing of a major Belarusian manufacturer and retailer of children’s toys.

We also defended the client in cases of unfair competition and violations of rights to the trademark in the MART and in courts several time. In one of the cases, we proved that a Belarusian competitor deliberately placed an order for manufacturing of similar products in the PRC and imported them to Belarus, so that the products mixed and consumers erroneously bought the competitor’s products.

Such actions were acknowledged unfair competition and prohibited by the MART. The violator was brought to administrative liability.

Representation of interests of a Belarusian manufacturer of heat and fluids metering and regulating devices in a case of unfair competition in courts and governmental bodies regarding the dispute of sales of the goods identical to the competitor’s goods by a Russian company (including sales via its subsidiary in Belarus) with specifying itself as the manufacturer of the goods.

The dispute was associated with performance of construction and installation works in connection with production facilities modernization within the scope of investment projects. The disputed amount is over USD 10 million.

A Swiss pharmaceutical company

We render legal support to the client in the scope of the investment project for construction of a plant for manufacturing medical products of human blood plasma in the Republic of Belarus. The expected volume of direct foreign investments is $ 20 million. We advised the client on the issue of the procedure of performing construction works, obtaining the required permits, the issues of the general construction contract agreement. We also advised on specific requirements to manufacturing of medical products.

The project was started in June 2017 and is still ongoing.

Belarusian textile manufacturer

Consulting the Client on the issues of eliminating defects within the warranty period under a construction contract and recovery of damages due to the non-quality performance of works on technical supervision within the construction of the facility. The case was complicated due to the fact that the general constructor had been recognized as a bankrupt and according to the law claims of eliminating defects as a non-monetary claims were not subject to satisfaction within bankruptcy proceeding initiated by economic court with regard to the general constructor.

We advised the Client that is an international home furnishing company on providing a subordinated loan to a Belarus-based supplier as well as on the issues of concluding pledge equipment agreement and registering the pledge in the Register of movable property encumbered with a pledge.

How can we help

Support of export financing in Belarus

A Belarusian company can use support in the form of an export loan to increase attractiveness of its goods in foreign markets. The exporter receives the value of the goods immediately after delivery, and the foreign purchaser will pay this value to their bank for several months.

Such scheme reduces the risks of Belarusian companies associated with non-receiving of payment and forced debt collection.

Protection against unfair competition in Belarus

Obtaining the antitrust body’s consent for deals in Belarus
