As a follow-up to the previously adopted Edict No. 93 dated 14.03.2022 “On Additional Measures to Ensure Stable Functioning of the Economy” (“Edict No. 93”), the main provisions of which we have alreadyexplained, the Resolution of the Council of Ministers of the Republic of Belarus No. 27 dated 12.01.2024 “On Issuing Permits” (“Resolution No. 27”) has been published. Resolution No. 27 enters into force on 18th of January and approves the procedure for obtaining permits and paying the fee.
For reference: the amendments to Edict No. 93 established the necessity from 22 October 2023 to obtain the Government's authorization for the following actions:
- alienation of shares in the share capitals of Belarusian legal entities by shareholders from “unfriendly” states;
- alienation of real estate by property owners of Belarusian legal entities in case the owners are entities from “unfriendly” states;
- alienation of real estate by Belarusian legal entities in share capitals of which the share of ownership of entities from “unfriendly” states is 25% or more;
- reorganization of Belarusian legal entities whose shareholders are from “unfriendly” states;
- withdrawal of a shareholder from an “unfriendly” state from a Belarusian legal entity.
Thus, Resolution No. 27 defines the procedure and conditions for issuing permits for the transactions described above.
- The Resolution of the Council of Ministers dated 01.07.2022 No. 436 “On the List of Persons” becomes invalid
The list of Belarusian legal entities prohibiting its shareholders from “unfriendly” states to alienate their shares is no longer valid.
Now restrictions for property alienation apply to all shareholders and property owners from “unfriendly” states and also to legal entities with property owners or shareholders from“unfriendly” states.
- To obtain the permit it is necessary to apply to the regional / Minsk City Executive Committee at the place of entity’s registration
The decision is issued in the form of a resolution of the Government and is valid for one year from the date of its adoption.
- The list of documents required for a permit has been established
The following documents shall be submitted to the executive committee:
- a copy of the state organization’s opinion on the market value of the alienated shares / real estate;
- information on the entity’s activity with submission of the balance sheet, profit and loss account as of the last reporting date, production scale (performance of work, rendering of services), the structure and number of employees, payments to the republican and local budgets, state non-budgetary funds (in cases of alienation of shares, enterprises as asset complexes, as well as in case of reorganization or withdrawal of a shareholder from the legal entity);
- a legalized extract from a commercial register of the country of establishment or another equivalent proof of the legal status of the company with a translation into Belarusian or Russian (if the applicant is a foreign company – a property owner or a shareholder);
- a copy of an ID with a translation into Belarusian or Russian (if the applicant is a foreign individual – a property owner or a shareholder);
- an extract from the “depot” account (in case of shares alienation);
- an extract from the registration book on real estate rights and restrictions (encumbrances) (in case of real estate alienation);
- information on the share / real estate purchaser (if any);
- other documents at the discretion of executive committees.
Please note that the list of the documents is open.
We believe that on the basis of the provided documents the state bodies will determine the amount of the contribution to be transferred to the budget.
- The issuance of the permit will take at least 2 months
The procedure for adopting the Resolution on the issuance of the permit consists of several stages
First stage
At the first stage, the regional / Minsk City Executive Committee decides whether the applicant can execute a respective transaction.
In the decision, the executive body determines both the amount of the contribution to the budget and the payment deadline. As a reminder, the contribution shall be not less than 25% of the market value of alienated shares / real estate.
The term for preparing the decision shall not exceed 30 working days from the date of submission of all necessary documents.
Second stage
At the second stage, the Executive Committee sends the decision to the State Property Committee. Based on the submitted decisions, the State Property Committee prepares a consolidated draft resolution of the Council of Ministers on a monthly basis (if necessary).
Third stage
The State Property Committee negotiates the prepared draft resolution with the Ministry of Justice (in terms of information about the entity, its shareholders, property owner), and in case of share alienation - with the Ministry of Finance (in terms of information about their owner and the number of shares owned by them). The draft is then submitted to the Council of Ministers for consideration.
Fourth stage
Regional / Minsk City Executive Committees, within 5 working days from the date of receipt of the resolution of the Government, send a copy of the permit to the applicant.
Some deadlines for approval of permits are not specified, in this regard, the actual timeframes of the permit procedure will become clear only in practice.
- The procedure for the refund of the contribution paid to the budget has been established
Please note that refund of the contribution paid to the budget is provided for only one case –non-execution of alienation of real estate by entities with the share of ownership of entities from unfriendly states in the amount of 25% or more. In all other cases of alienation, the contribution will not be refunded.
The refund of the contribution is made by the regional or Minsk City Executive Committee at the location of entity’s registration upon confirmation of its legality within 5 working days after receipt of the payer's written application. The payer's application shall contain a justification for the refund, as well as an extract from the registration book on real estate rights and restrictions (encumbrances) in respect of the object.
